TERMS AND CONDITIONS OF THIS OFFER:

ELIGIBILITY
1. You must be an individual, 18 years of age or older.
2. This special promotional offer is only available from USGlobalSat Inc.'s web site (http://www.usglobalsat.com). You must have Internet access and an email address to be eligible to receive the benefits of the earned credits (G-Sat Dollars) that will be awarded into your personal on-line account. USGlobalSat Inc.is not responsible for your inability to connect to the Internet, log into the USGlobalSat web site, or access your USGlobalSat account.
3. Only products listed within the special section of the web-site will qualify for earning G-Sat Dollars and will contain a prefix in the part number which begins with "GSD-".

G-SAT DOLLAR CREDITS
4. Customers will be credited, subject to the terms and conditions enumerated in this agreement, with a percentage of the NET purchase made at www.usglobalsat.com. A percentage of fifty (50%) will be used to calculate the award of G-Sat Dollars, which means for every two-dollars spent on the NET purchase, one G-Sat Dollar will be awarded into the users account. The NET purchase is defined as the total amount paid to USGlobalSat minus sales tax, shipping, handling and any other special charges that may be applicable to the order. G-Sat Dollar credits will be rounded up or down to the nearest full dollar amount.
5. G-Sat Dollars have NO CASH VALUE and cannot be redeemed for actual cash. The credit can only be used and applied toward your next purchase of any item(s) made from the www.usglobalsat.com web-site and can be applied towards sales tax and shipping and handling charges on your next order. 6. As an end-user purchaser, purchases made through the www.usglobalsat.com web-site will be deemed a "Qualified Purchase" and will be subject to earn G-Sat Dollars if and only if all of the following criteria are satisfied: a.) All potential Qualified Purchases must made using the same (existing or new) personal account to which the awarded credit will be applied into. b.) All purchases must be started and completed in one shopping session within the www.usglobalsat.com shopping program. If you start a purchase, then complete it in a different session, you may not be ineligible for G-Sat Dollars c.) Users cannot combine any other offer, coupons or discount codes with this promotional offer. d.) Items cannot be returned. However if they are accepted for return, a 25% restocking fee is applicable (shipping and handling chargers are non-refundable) and the initial purchase will be invalidated and deemed as a non-Qualified Purchase. The awarded G-Sat Dollars will be revoked.
7. The determination of whether or not a purchase made on the www.usglobalsat.com web-site is a "Qualified Purchase" is at the sole discretion of USGlobalSat, Inc.
8. "Account Activation" is completed upon making a Qualified Purchase from the www.usglobalsat.com web-site. In the case of a returning customer, your previous account will still be considered eligible and should be used for purchases.
9. There are a number of products for sale on the USGlobalSat web-site, however NOT all are eligible for G-Sat Dollars. Only those with a prefix in the SKU or part numbers beginning with "GSD-" will qualify.
10. Credit values awarded in the form of G-Sat Dollars are applied only into the account from which the original purchase was made from. A notification of your G-Sat Dollar eligibility will be supplied within 4-business days after the original purchase in the form of an electronic e-mail. The e-mail will contain a unique "Discount Code" that reflects the appropriate value of credit earned from your Qualifying Purchase. Credits cannot be transferred to any other account. USGlobalSat, Inc. reserves the right to terminate any account for abusive or fraudulent activity, or if the customer is no longer reachable at the e-mail address provided.
11. G-Sat dollars expire on December 31, 2008, with any unused G-Sat Dollar credits being forfeited if not used before the expiration date.
12. USGlobalSat, Inc. is not responsible for changes to, or discontinuance of, any program, sale, discount, rebate, etc. or for any effects resulting from awarded credits (or the loss of awarded credits) caused by such changes, discontinuance, or withdrawal. USGlobalSat, Inc. is not responsible for changes to, or discontinuance of, any special offer or coupon code. It is the customer's responsibility to make sure that all specials are valid.

ACCOUNT ACCESS AND PASSWORD
13. Upon completion of your on-line purchase at www.usglobalsat.com, you will select a password that will allow you to access your USGlobalSat, Inc. account (via the USGlobalSat web site). This log-on e-mail address and password also make you eligible to check account order status, communicate with a technician, request an RMA for product returns, view past purchases and participate in the forums area.
14. USGlobalSat, Inc. is entitled to act on instructions received under your password. For security purposes, it is recommended that you memorize your password, and do not write it down. You are responsible for keeping your email address, and log-on password, discount codes and other account information confidential. USGlobalSat, Inc. is not responsible for any credits or debits made to your account by someone else who uses your password.

LIMITATION OF LIABILITY

HAS A CORPORATE PARTNERING RELATIONSHIP, INCLUDING WITHOUT LIMITATION, CO-BRANDING, CO-MARKETING, JOINT DEVELOPMENT, A MERCHANT RELATIONSHIP, OR A LICENSING OR SUPPLIER RELATIONSHIP (EACH A "CORPORATE PARTICIPANT") BE LIABLE TO YOU FOR NON-PERFORMANCE OF USGLOBALSAT OBLIGATIONS. YOU AGREE NOT TO SUE ANY CORPORATE PARTICIPANT FOR NON-PERFORMANCE BY USGLOBALSAT, INC.. IN NO EVENT SHALL USGLOBALSAT, INC. BE LIABLE FOR ANY DAMAGES, CLAIMS OR LOSSES INCURRED (INCLUDING WITHOUT LIMITATION COMPENSATORY, INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY ARISING IN CONNECTION WITH: (I) THE PRODUCTS OFFERED; (II) ANY FAILURE, DELAY, OR DECISION BY USGLOBALSAT, INC. IN ADMINISTERING STANDARD AND SPECIAL PROMOTIONS; (III) THE USE OR INABILITY TO USE THIS WEB SITE; (IV) THE USE OR INABILITY TO USE THE SOFTWARE INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS OR LOST OPPORTUNITY, OR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL OR EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LEGAL FEES, ARISING OUT OF SUCH USE OR INABILITY TO USE THE PRODUCTS AND/OR SOFTWARE IF APPLICABLE, OR (V) THE PURCHASE OR USE OF ANY MERCHANDISE, PRODUCTS, OR SERVICES OF MERCHANTS OR SUPPLIERS, EVEN IF USGLOBALSAT, INC. MEMBER AGREES TO INDEMNIFY AND HOLD USGLOBALSAT, INC., ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS AND EMPLOYEES, HARMLESS FROM ANY CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEY'S FEES, MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF MEMBER'S USE OF THE PRODUCTS, MARKETING AND PROMOTIONS, THE VIOLATION OF THESE POLICIES BY MEMBER, OR THE INFRINGEMENT BY MEMBER, OR OTHER USER OF THE PROGRAM USING THE MEMBER'S ACCOUNT, OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHT OF ANY PERSON OR ENTITY, OR AS A RESULT OF ANY THREATENING, LIBELOUS, OBSCENE, HARASSING OR OFFENSIVE MATERIAL CONTAINED IN ANY MEMBER COMMUNICATIONS.

TERMINATION OR CHANGES TO THE PROGRAM
16. USGlobalSat, Inc. reserves the right to terminate this and any other offer at any time without notice.
17. USGlobalSat, Inc. may modify these terms and conditions from time to time, with or without notice, and your continued participation in the offering or program after such modification shall be deemed to be your acceptance of any such modification. It is your responsibility to check the terms and conditions page posted on the web site regularly to determine whether this offer has been modified. If you do not agree to any modification of this or any other offer, you must immediately submit your notice to cease participation in writing to sales @ usglobalsat.com.

DISPUTES/ERRORS
18. All questions or disputes regarding the promotional program, including without limitation, questions or disputes regarding eligibility for the promotion, or the eligibility of credit rewards for use, must be submitted in writing within 60 days of the qualifying transaction, to USGlobalSat, Inc. at: Customer Service, USGlobalSat, Inc., 1308 John Reed Court, City of Industry CA, 91745. Any such disputes shall be resolved by USGloBalSat, Inc.at its sole discretion. All interpretations of promotional Terms and Conditions shall be at the sole discretion of USGlobalSat, Inc. In the event that an error is made by USGlobalSat, Inc., your sole remedy shall be the credit of the disputed credit amount to be applied to your USGlobalSat, Inc. account.

MISCELLANEOUS
19. Any general rebate/credit terms and conditions set forth for standard purchases do not apply to this special sale and are replaced with the following terms and conditions for the specified item part numbers only. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without reference to conflicts of law rules. As a condition of the use of the any USGlobalSat, Inc. offer. you agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Los Angeles, California and therefore agree to file any grievance or suit of any kind exclusively in the courts located within the county of Los Angeles. If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. USGlobalSats' failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Nothing in this agreement shall be construed as creating or constituting a partnership, joint venture or agency relationship between USGlobalSat, Inc. and any other of its corporate partners, associates or resellers. Neither the Affiliated Merchants nor any Corporate Partner shall have the ability to create any obligation on USGlobalSats' behalf. This Agreement constitutes the entire agreement between you and USGlobalSat, Inc. with respect to the G-Sat Dollar credit promotion.
